By accessing our website, submitting a purchase order, or using our services, you confirm that you have read, understood, and agreed to be bound by these Terms & Conditions.

These Terms apply to all customers, distributors, and business partners worldwide. We reserve the right to update these Terms at any time; continued use of our website or services constitutes acceptance of any changes.

2.1 Product Range

We manufacture and supply a comprehensive range of medical-grade instruments including but not limited to:

2.2 Product Accuracy

We make every effort to accurately represent our products through descriptions, specifications, and images on our website. However, actual products may vary slightly from images due to photography conditions, manufacturing batches, or product improvements. Specifications are subject to change without prior notice.

All instruments are intended for use by qualified, licensed medical and dental professionals only. Sami’s Instruments does not provide medical advice, diagnosis, or treatment recommendations. Proper training and certification are required for the use of all instruments. We are not liable for misuse, improper sterilization, or use by unqualified personnel.

2.4 Size & Customization

Many of our products are available in multiple sizes. You may select the size of your choice at the time of ordering. We also offer custom OEM manufacturing services. Please contact us for any custom instrument requirements.

3. Orders & Purchase Process

3.1 Order Placement

Orders can be placed via our website, email, or WhatsApp. An order is not confirmed until you receive a written Order Confirmation or Pro-Forma Invoice from Sami’s Instruments.

3.2 Minimum Order Quantity (MOQ)

Minimum order quantities may apply to certain products or categories. MOQ requirements will be clearly communicated at the time of quotation. Custom or private-label orders may carry higher MOQ requirements.

3.3 Order Modifications & Cancellations

  • Orders may be modified or cancelled within 5 hours of confirmation without penalty.
  • Orders cancelled after production has commenced may be subject to a cancellation fee of up to 30% of the order value.
  • Custom and OEM orders cannot be cancelled once production begins.

4. Pricing & Payment

4.1 Pricing

All prices are listed in United States Dollars (USD) unless otherwise stated. Prices are subject to change without notice. Quoted prices are valid for 30 days from the date of quotation unless otherwise specified. Prices do not include shipping, insurance, duties, taxes, or applicable import fees unless explicitly stated.

4.2 Payment Terms

  • New customers: 100% advance payment required before production or shipment.
  • Established customers: Payment terms are negotiated individually (e.g., 50% advance, 50% before shipment) and must be agreed in writing.
  • For orders above USD $5,000, custom payment schedules may be arranged.

4.3 Accepted Payment Methods

  • Bank Wire Transfer (T/T) — Preferred method
  • PayPal — Subject to applicable transaction fees (buyer’s responsibility)
  • Stripe — Credit / Debit Card payments
  • Western Union / Money Gram
  • Visa / MasterCard
  • Letter of Credit (L/C) — For large orders, by prior arrangement only

4.4 Late Payments

Overdue payments may be subject to a late fee of 1.5% per month. Sami’s Instruments reserves the right to withhold shipment of any pending orders until outstanding balances are fully cleared. Accounts with repeated late payments may have their credit terms revoked.

5. Shipping & Delivery

5.1 Shipping Methods

We ship worldwide via trusted international couriers. We use DHL for fast express shipping and FedEx and UPS for reliable standard worldwide delivery — all with secure packaging and full shipment tracking.

5.2 Shipping Cost

We offer a simple, transparent flat-rate shipping policy: $39 flat shipping per order, regardless of whether you order 1 product or 100 products. For large or heavy freight consignments, sea freight options are available. For full details, see our Shipping & Refund Policy.

5.3 Delivery Timeframes

  • Standard stock items: Estimated 7–15 business days after payment confirmation.
  • Custom / OEM orders: Estimated 7–20 weeks depending on specifications and quantity.
  • Delivery timeframes are approximate and not guaranteed. Delays caused by customs clearance, weather conditions, or carrier disruptions are outside our control.

5.4 Risk & Title

Risk of loss or damage transfers to the buyer upon handover of goods to the carrier. Sami’s Instruments is not responsible for any loss, damage, or delay once goods are in transit. We strongly recommend purchasing cargo insurance for all shipments.

5.5 Customs, Duties & Import Regulations

The buyer is solely responsible for ensuring that all imported products comply with applicable laws and import regulations in their country. All import duties, taxes, VAT, and customs clearance fees are the buyer’s sole responsibility. Sami’s Instruments will provide accurate commercial invoices and packing documents. We will not misrepresent product values or contents for any customs purpose.

6.2 Materials

All instruments are manufactured using premium-grade German stainless steel and titanium — rust-free, corrosion-resistant, and built for long-term durability and performance. Material certifications are available upon request for bulk orders.

6.3 Quality Inspection

Every order undergoes a multi-stage quality inspection before shipment. Customers may request third-party inspection at their own cost with advance notice of at least 5 business days before the scheduled shipment date.

7. Returns, Exchanges & Warranty

7.1 Warranty

Sami’s Instruments warrants that all products are free from manufacturing defects at the time of shipment. Our warranty covers manufacturing defects for a period of 12 months from the date of delivery. The warranty does not cover damage caused by misuse, improper sterilization, normal wear and tear, or unauthorized modifications.

7.2 Return Policy

  • All returns must be authorized in writing by Sami’s Instruments before any goods are shipped back.
  • Claims for defective or incorrect items must be submitted within 30 days of receipt, with clear photographic evidence.
  • Authorized returns must be shipped in original or equivalent packaging, with return freight prepaid by the customer.
  • Non-defective returns are accepted within 14 days of delivery for stock items only, subject to a 15% restocking fee.
  • Custom, private-label, or OEM items are non-returnable unless proven defective.

7.3 Replacement & Refunds

Upon verification of a valid claim, we will offer a replacement shipment, credit note, or refund at our discretion. Refunds, where applicable, will be processed within 15–21 business days via the original payment method.

8. Intellectual Property

All content on the Sami’s Instruments website — including product images, descriptions, logos, and branding — is the intellectual property of Sami’s Instruments and is protected by applicable copyright and trademark laws. Unauthorized reproduction, distribution, or commercial use of our content is strictly prohibited.

Custom designs, drawings, or specifications provided by customers for OEM orders remain the intellectual property of the customer. We will not reproduce or share such designs with any third party without explicit written consent.

9. Confidentiality & Privacy

We respect the privacy and confidentiality of all our customers and business partners. Customer details, pricing agreements, and order information are treated as strictly confidential and will not be shared with third parties except as required by law or as necessary for order fulfillment (e.g., sharing shipping details with courier companies).

10. Limitation of Liability

To the maximum extent permitted by applicable law, Sami’s Instruments shall not be liable for:

  • Any indirect, incidental, special, or consequential damages arising from the use or inability to use our products.
  • Loss of profits, revenue, business data, or opportunities.
  • Damages resulting from misuse, improper sterilization, or unauthorized modifications of instruments.
  • Any claims submitted more than 12 months after the date of the relevant transaction.

Our total liability for any claim shall not exceed the purchase price of the specific products giving rise to that claim.

11. Force Majeure

Sami’s Instruments shall not be held liable for any failure or delay in performance where such failure results from circumstances beyond our reasonable control — including but not limited to natural disasters, pandemics, acts of war, government restrictions, labor disputes, or major transportation disruptions. In such cases, we will notify customers promptly and make every reasonable effort to fulfill obligations as soon as practicable.

12. Governing Law & Dispute Resolution

These Terms and Conditions are governed by the laws of Pakistan. Any dispute arising from transactions with Sami’s Instruments shall first be attempted to be resolved through good-faith negotiation between both parties.

If a resolution cannot be reached through negotiation, disputes may be submitted to binding arbitration — either in Sialkot, Pakistan, or through internationally recognized arbitration under ICC (International Chamber of Commerce) rules, as mutually agreed upon by both parties. All proceedings shall be conducted in English.
